Jonathan Lazarow advises business owners, private companies, and sponsors on complex buy-side and sell-side transactions across the United States. His practice focuses on mergers and acquisitions, corporate governance, private equity investments, and strategic structuring.

With experience spanning $5M lower middle market exits to multi-billion-dollar strategic acquisitions, Jonathan brings both legal precision and real-world business judgment to every transaction. Before practicing law, he ran an investment fund and helped grow his family's company into the largest family-held jeweler in the U.S., giving him a rare perspective as both business owner and advisor.

He has advised on transactions including:

  • $500M exit of a multi-state waste hauling company
  • $100M+ defense contractor roll-up and exit
  • $70M digital marketing agency sale

Known for his steady leadership in complex negotiations, Aaron guides business owners through high-stakes transactions involving multiple stakeholders, regulatory scrutiny, and sophisticated structuring.

Prior to co-founding Ambrose Lazarow, Aaron led the corporate group of a prominent Virginia-based law firm, managing complex transactions across industries including healthcare, retail, government contracting, and private equity.
