This Is Not Just a Law Firm. It's a Deal Firm.
Strategic Buy-Side and Sell-Side Counsel for U.S. Business Owners Navigating Complex Transactions.
We combine big-firm transactional experience with real-world business judgment to help owners close smarter, structure better, and protect long-term value.
Speak Directly with a Partner
Deals Don't Fall Apart on Paper. They Fall Apart in Structure.
Business owners face real risks during acquisitions and exits:
Inadequate working capital post-close
Tax inefficiencies that erode proceeds
Governance issues uncovered too late
Deal structures that look attractive but fail operationally
Most law firms draft documents.
Few understand how deals actually get done.
Legal Precision. Business Pragmatism.
Ambrose Lazarow is a boutique corporate firm built for transactions, not billable-hour volume.
Partner-Led Execution
You work directly with Aaron Ambrose and Jonathan Lazarow, not junior associates.
Big-Firm Experience Without Big-Firm Drag
Sophisticated structuring. Efficient execution. Accessible fee models.
Fixed-Fee Options Available

Deal-First Thinking
We manage risk, allocate leverage intelligently, and get parties to yes.
Real Transactions. Measurable Impact.
Buy-Side · Shipping & Packaging Industry
5x Increase in Working Capital Secured
A seller proposed leaving minimal working capital post-close, creating liquidity risk. We analyzed 24 months of financial data, recalculated normalized working capital, and negotiated a nearly fivefold increase in retained capital.
Sell-Side · Advertising & Direct Marketing (Pay4Leads)
Nearly 10% of Purchase Price Shielded
Traditional structure would have cost the seller significantly in capital gains. We restructured the transaction using rollover equity and advanced tax planning techniques rarely deployed in the lower middle market.
Built for U.S. Business Owners in the Middle Market
We advise:
If you are evaluating a deal between $5M and $250M, you need more than documentation. You need strategy.
